Service terms

How we work with you

These terms apply to every project unless your written quote says otherwise. Where the two differ, the quote wins.

1. Scope and quote

Before any work starts, we write your requirements up as a specification and agree it with you. The quote gives the price, timeline and payment schedule for that specification. Anything outside it is a change.

2. Changes

If you want something added or changed after the specification is agreed, we'll tell you the effect on price and timeline in writing before doing it.

3. Payment

You pay as set out in your quote. The code is handed over once the full amount is paid. Prices are in Indian rupees, and GST is added where it applies.

4. Testing and handover

We test the software against a simulated broker before you see it. You then test it, on paper trading or with small size, and tell us whether it does what the specification says. At handover you receive the full source code and documentation.

5. 30-day bug-fix period

For 30 days after handover, we fix free of charge any case where the software doesn't do what the agreed specification says. This doesn't cover:

After 30 days, fixes and broker API updates are covered by an optional maintenance plan, quoted separately.

6. Who owns the code

Once you've paid in full, the code written for your project is yours to use, change and have maintained by anyone. We may keep using general building blocks that aren't specific to your strategy, such as broker connection code. We never reuse or share your trading rules.

7. Confidentiality

We keep your strategy, rules and account details confidential, and we'll sign an NDA before you share your rules if you want one.

8. Your account and your trading

9. Limits of our responsibility

Automated trading can fail because of market conditions, broker rejections, exchange or broker outages, internet problems or delays outside our control. We're not responsible for trading losses, missed trades or lost profits arising from using the software. Our total responsibility for any claim about a project is limited to the fees you paid us for that project.

10. Ending a project

Either side can end a project in writing. You pay for work done up to that point, as set out in your quote, and receive the code for that work once it's paid for.

11. Law

These terms are governed by the laws of India, and the courts in Tiruppur, Tamil Nadu have jurisdiction.
